META POLICIES ON CONNECTION AND ACCOUNT QUALITY

1.1. YOU acknowledge that the use of the WhatsApp Business channel is subject to the quality, security, and best practice policies established by Meta Platforms, Inc., including, but not limited to, sending limits, quality rating, consent standards, and technical integration guidelines.

1.2. Ikatec™ will maintain automated mechanisms (monitoring dashboard with quality indicators, block history, and template status) within the Digisac® Platform integrated with Meta’s API (WABA) to automatically and periodically verify connectivity, account status, and quality rating, adopting preventive measures in the event of:

(a) disconnection imposed by Meta;

(b) message limitations imposed by Meta; or

(c) degradation of the quality rating (“yellow” or “red”) according to Meta’s criteria.

1.3. In such cases, Ikatec™ may, automatically and preventively, restrict, suspend, or temporarily block the sending of messages, campaigns, schedules, or the use of templates, with the purpose of preserving account integrity and integration performance.

1.4. YOU acknowledge that such preventive blocks or automatic suspensions do not constitute a service failure, but rather mandatory technical measures determined by Meta’s policies.

2.1. It is YOUR sole responsibility to ensure that the sending of messages, campaigns, notifications, and communications occurs only with the prior, free, informed, and unambiguous consent (opt-in) of recipients, in compliance with Law No. 13.709/2018 (LGPD) and other applicable regulations, including Meta’s policies.

2.2. YOU are responsible for any complaints, blocks, reports, penalties, sanctions, or suspensions arising from the absence of opt-in, communication abuse, or misuse.

2.3. Ikatec™ does not verify the origin or validity of the consent.

3.1. Only templates previously approved by Meta may be used, and the use of content is prohibited if it is:

(a) unauthorized or used for purposes different from the approved category;

(b) abusive or misleading promotional content;

(c) discriminatory, offensive, or in violation of applicable law; or

(d) likely to result in blocks or spam reports under WhatsApp/Meta policies.

3.2. Ikatec™ may, automatically and without prior notice, restrict, suspend, or temporarily block the sending of messages, campaigns, schedules, or the use of templates with a “yellow” or “red” quality rating, applying preventive blocking across all screens and functionalities of the platform.

3.3. The Digisac® Platform will display an informational alert whenever a block occurs, indicating the reason or limitation imposed by Meta.

3.4. The following constitute just cause for the immediate termination of this Agreement:

(i) repeated use in violation of Meta’s policies;

(ii) sending messages without consent or with offensive content;

(iii) recurrence of a “red” rating;

(iv) proof of absence of opt-in from recipients; or

(v) notification by Meta/WhatsApp of violation of its policies.

4.1. YOU acknowledge that Meta/WhatsApp may unilaterally modify its policies at any time; YOU agree to adjust your use and cooperate with Ikatec™ in implementing the necessary technical adjustments.

4.2. Ikatec™ may update blocking, feedback, and quality control mechanisms as a result of regulatory or technical changes by Meta, informing the CONTRACTING PARTY whenever such changes impact the platform’s operation.

5.1. The Digisac™ Platform may include a customer service chatbot and/or virtual assistant, native or customized, according to the contracted plan, for audio transcription, service summaries, copilot (non-autonomous response assistant), text correction, and service agent. All functionalities are intended solely for customer service.

5.2. These functionalities are auxiliary to the Platform and will not, under any circumstances, be used as primary features. YOU may only use WhatsApp Business Solution Data to fine-tune an AI Model exclusively for use within this solution, and it is not permitted to develop other AI models using such data within the Solution. YOU acknowledge that WhatsApp may terminate your account and revoke your access if it determines that YOU have violated these limitations.

5.3. Native or custom-built chatbots or assistants based on third-party Generative Artificial Intelligence technologies, such as OpenAI (ChatGPT), Meta (LLaMA), and other equivalents, are subject to the policies and technical limitations of those providers. Ikatec™ does not guarantee uninterrupted availability or error-free operation when functionality depends on APIs, cloud services, or third-party platforms (such as OpenAI, Meta, messaging providers, hosting providers, etc.). Instabilities, blocks, or policy changes from these providers do not constitute a breach, as they are inherent risks of the technological environment.

5.4. Ikatec™ acts as a technology provider and service integrator and is not responsible for:

a) availability or performance of third-party APIs, cloud services, or platforms;

b) content, accuracy, or legality of responses generated by AI engines;

c) automated decisions made by the CLIENT or its users.

5.5. Ikatec™ is only responsible for modules developed under its direct technical control. External failures, API blocks, or restrictions imposed by third parties do not constitute a breach.

6.1. YOU acknowledge that the use of channels such as WhatsApp Business (WABA) is subject to Meta’s Policies, current and future, including restrictions on the use of generative AI. The use of AI mechanisms on WhatsApp that violate such policies is prohibited.

6.2. AI responses and outputs are probabilistic and non-deterministic in nature and must be validated by human users before being used in sensitive contexts (legal, medical, financial, or decision-making). YOU agree not to use the Chatbot for unlawful, discriminatory, deceptive purposes, or in ways that violate third-party rights. Ikatec™ will adopt reasonable technical measures for quality and ethics, without guaranteeing the complete absence of bias or errors.

7.1. In the event of failure, discontinuity, or policy changes by AI providers, Ikatec™ may replace services with equivalent alternatives or adjust technical parameters without the need for a contractual amendment. If such changes result in additional costs, YOU will be notified in advance. Blocks, data volume restrictions, periods of unavailability, or unilateral changes by providers are considered foreseeable risks by the contracting Parties and inherent to the technology.
